英文契約書の英訳で困っています

はじめまして。
以下の条項の英訳を考えているのですが、どのように訳せばいいでしょうか。

１．「サービス料については、別途書面による合意により決める。」

２．次の規定に、下記記載の英訳を入れたいのですが、訳と、どこに入れるのが適切かアドバイスいただけますでしょうか。

１．１Within thirty (30) days of the end of each calendar quarter, ABC shall provide XYZ with an invoice for the Service Fee and Expenses (“Invoice”) together with the documents proving the amount of such Service Fee and Expenses (“Evidenced Documents”).
１．２Upon reception of the Invoice and Evidenced Documents, XYZ shall confirm the contents of such Invoice and Evidenced Documents and make payment for the amount billed, in Japanese Yen, by a wire remittance to the bank account designated by ABC, within thirty (30) calendar days after the date of such Invoice or the actual day of receipt of such Invoice, whichever comes later.

「ただし、第４四半期の支払いについては、ABCは、当該第４四半期の最終月２０日締めで上記INVOICE及びEVIDENCED DOCUMENTをXYZに送付する。」「当該第４四半期２０日以降のサービス料については翌年度の支払いに繰り込む」


大変お手数をおかけしますが、どうかよろしくお願いします。

P.S　ちなみに、お願いしました英訳にもありますとおり、「翌月に繰り込む」という表現は英文ではどのように表現するのでしょうか。

レスが無い様なので、契約書ドラフトで苦労した昔を思い出し、

敢えて訳して見ました。
原文中で大文字で始まっている語句はどこかで定義してあるものとして
the は省略しました。（普通 Invoice の代わりに INVOICE と書くのでは。）
言わずとも判る文は省略しました。例えば、Invoiceの発行日と受領日は
受領日が遅いはずですので、whichever comes laterは省略しました。
昔勤めていた会社はチェッカーが居りましたので、細部は考えずに
済みました。従って、あくまでも参考訳と考えてください。
１．以降の文の順序はこの順序で構わないと思います。

「サービス料については、別途書面による合意により決める。」
Service Fee and Expenses shall be defined separately by mutual agreement
of the parties and noticed in written.
原文に違和感は有ります。

１．１Within thirty (30) days after the end of each quarter,
ABC shall provide XYZ （with） an invoice for Service Fee and Expenses (“Invoice”)
together with the documents showing the individual amount of
Service Fee and Expenses (“Evidence Documents”).
１．２ Upon receipt of Invoice and Evidence Documents,
XYZ shall confirm the contents of Invoice and Evidence Documents
and make payment for the invoiced amount, in Japanese Yen,
with a bank remittance to the account of ABC, within thirty (30) days
after the date of Invoice or the date of receipt of Invoice by XYZ.

１．２「ただし、第４四半期の支払いについては、ABCは、当該第４四半期の
最終月２０日締めで上記INVOICE及びEVIDENCED DOCUMENTをXYZに送付する。」
「当該第４四半期２０日以降のサービス料については翌年度の支払いに繰り込む」

As for the payment for the 4th quarter, ABC shall send Invoice and Evidence Documents
with the closing date, 20th of the last month of the quarter, to XYZ.
Service Fee and Expenses arise after the 20th of the last month of the quarter
shall be settled as Service Fee and Expenses for the 1st quarter of the next fiscal year.

ちょっと気になった部分のみ補足させていただきます。

１．「サービス料については、別途書面による合意により決める。」

Service Fee and Expenses shall be determined separately by written agreement.

「当該第４四半期２０日以降のサービス料については翌年度の支払いに繰り込む」

Said Service Fee and Expenses accrued after the 20th of the final month of the fourth quarter shall be carried over to the following fiscal year.
