契約書です。権利放棄の部分が訳せません。

Waiver
The failure of any party hereto at any time to require performance by the other party of any responsibility or obligation hereunder shall in no way effect the full right to require such perfomance at any time thereafter. Nor shall the waiver by any party of a breach of any provision here of constitute a waiver of any succeeding breach of the same or other provision nor shall it constitute a waiver of the responsibility or obligation itself.

私の稚拙な訳は以下です。

権利放棄
あらゆる時点での、一方の当事者によって必要とされる他方の当事者の義務、責任の不履行は、それ以後のあらゆる時点で、そのような履行を必要とするすべての権利を満たすものでは決して無いものとする。また、条項の違反をした一方の当事者による権利放棄は、それに続く同条項あるいは他の条項の違反、あるいは責任あるいは義務の放棄を構成しないものとする。

自分なりに訳してみたのですが、大した違いはないようでした。

The failure of any party hereto at any time to require performance by the other party of any responsibility or obligation hereunder shall in no way effect the full right to require such perfomance at any time thereafter.
↓
A lack of adequacy to require successful execution of a contract by the other party shall in no way effect the full right to require such performance.
他方の当事者が（あらゆる時点で契約を間違いなく）履行するために必要な一方の当事者の適切な処理の欠如は、それ以後のあらゆる時点で、その契約を履行するために（与えられている）権利にどのような形でも影響されるべきものではない。

一方の当事者による約款不履行のために起こる権利の放棄は、その約款やその他条項の不履行に続く権利の放棄と見すべきではない。また、責任やそのものの義務に対する権利の放棄でもないと制定する。


契約当事者が、あらゆる時点で、契約を間違いなく履行するために必要な一方の当事者による適切な処理の欠如は、その契約を履行するために与えられた権利にどのような形でも影響されるべきものではない。一方の当事者が約款不履行をしたがために起こる権利の放棄は、その約款やその他条項の不履行に続く権利の放棄と定めるべきものではない。また、責任やそのものの義務に対する権利の放棄でもないと制定する。

"failure to {動詞}" で、「何々しないこと」の意味です。

　>Her failure to keep her promise disappointed me.

この場合は、"the failure to require..." ですので「要求・要請しないこと」の意。
以上を踏まえて、以下、私の訳です。

「権利の放棄」
　※条項の内容としては、下記訳文からも分かるようにむしろ「権利を放棄しない」ことを謳っているので、しばしば「権利の不放棄」とも訳されます。

「本契約のいずれかの当事者が、いずれかの時点において、本契約に基づく何らかの義務の履行を相手方当事者に要求しなかったとしても、それ以降のいかなる時点においても、かかる履行を要求する権利全体に対し、何らの影響もないものとする。」

Ａ社とＢ社の契約において、Ｂ社に課せられた義務を、Ａ社が何らかの理由で果たすよう要請しなかったとしても、Ａ社はそれ以降同じ義務の履行が要請できなくなる訳ではない（要請する権利は変わらずある）、ということです。

"here of" → "hereof" ですよね。以下、その前提で。
「また、いずれかの当事者が、（相手方当事者による）本契約のいずれかの条項の違反に対する権利を放棄した場合であっても、以降に同一条項または他の条項に対する違反に対する権利を放棄したものとは見なされず、さらに義務そのものを放棄したとも見なされないものとする。」

Ｂ社の契約違反に対し、Ａ社が契約上に定められた権利（訴訟提起、損害賠償請求など）を行わなかった（許した）としても、それ以降Ｂ社は同様の（または異なる）契約違反を行っても同様に見逃してもらえる訳ではないし、ましてや契約上の義務を課せられなくなる訳でもない、ということです。


もう１件ご質問の Assignability についてもそうですが、英文契約書では頻出する、定番と言ってよい条文です。言い回しはいろいろあっても趣旨は大同小異なので、１冊英文契約書の参考書を買って熟読してみることをお勧めします。古い本ですが、取りあえず私の手元にある本を１冊ご紹介しておきます。
