「機密保持契約」の条項です。

下記ウエブの「適用除外条項」を良くお読みください。なお、「長すぎて。。。」の口実は、見苦しいので、止めましょう。

次にどういう点についてという具体的な話を、

with respect to

以下に述べています。

confidential information of the disclosing party which is at any time independently developed by the receiving party,
情報提供側の情報の中でも、情報を受け取った側が独自に開発などして取得した情報で、

provided [the person or persons developing the same] [did not have] [access to the confidential information of the disclosing party] [prior to such independent development.]

provided は if と同じような意味で、～の条件でという意味です。
始めの[]は主語、次の[]は動詞、次の[]は目的語、次の[]はその条件みたいなものですね。
この文全体は、前の文の「情報提供側の機密情報だが、情報受取側が独自に開発した情報」をより明確にして、その情報を開発／発明などした人間が開発／発明に先立って、情報開示側の情報に触れることがなかった場合と限定しているのですね。
