契約書の文面で意味が分かりずらい英語があります。

本当に困っています。どなたか教えてください。

(1)PRIVATE and CONFIDENTIAL　
これは極秘契約と訳してよいのでしょうか？

(2)This Sale and Purchase Agreement is entered into and executed on this 4th January 2010 and between the following parties

(3)Hereinafter referred as the “Authorized Buyer”

(4)Whereas the Seller warrants with full responsibility and under penalty of perjury or fraud, that he has the authority to sell said precious AU metal and enter into this Sale and Purchase Contract;

(5)Now therefore, for and in consideration of the above premises, both parties hereby agree to enter into this Sale and Purchase Agreement in their respective capacity to contract, under the terms and conditions hereunder.

PLIVATEで秘密です。

このSale Purchase Agreementはパーティーを、参加されて、この2010年1月4日の上と、そして、以下の間で処刑されます。

以下に、Authorized Buyerとして参照されています。
ところが、彼には、Sellerは完全な責任と偽証か詐欺の刑罰の下で保証して、前述の貴重なAUに金属を販売して、このSaleとPurchase Contractに入る権威があります。

現在、Consideration、したがって、および上の構内のConsiderationでは、双方は、契約する彼らのそれぞれの立場でこのSaleとPurchase Agreementに入るのにこれにより同意します、チームと本契約の条件の下で。

の文章で、「ところが、彼には、Sellerは完全な責任と偽証か詐欺の刑罰の下で保証して、前述の貴重なAUに金属を販売して、このSaleとPurchase Contractに入る権威があります。
」と訳していただきましたが、「完全な責任と偽証か詐欺の刑罰の下で保証して」の部分はどういう意味なんですかね？

読解が難しくて分かりまえん。

教えていただけませんか？

(1)PLIVATEは秘密ということなので、PRIVATE and CONFIDENTIALはそのまま「秘密・機密」とでも訳せばよいでしょうか？

また、最後の文章のConsiderationはこの文章の場合、報酬と訳せばよいのでしょうか？
