英文契約書上でのSales AgentとSales Representativeの違いは何ですか?

Sales Representativeの英文契約書に以下のような表現が時々あるのですが、Sales AgentとSales Representative違い（法律や契約面での）が分かりません。日常では、同じような意味で使われていることは、私も理解しています。しかし、下記のような表現があるということは、何か法律的な解釈の違いがあると思うのですが。

表現：
Nothing in this agreement shall be construed to constitute Representative as the partner, employee or agent

原則的に、Sales Representative　と　Sales Agent　の意味の違いは：

Sales Representative：雇用契約に基づく販売員・従業員
Sales Agent：代理契約に基づく販売代理人

となり、労使契約内容の違いから責任や権限範囲が異なってきます。表現文においては、

Nothing in this agreement shall be construed to constitute Representative as the partner, employee or agent

この合意書において、共同出資者、従業員、代理人として代理的な性質を有すると解釈できない

とあるが、具体的な契約に関する言及がないので、ここでの　Representative　は一般的な代理権を有さないという解釈になるでしょう。

を言い換えれば

Nothing in this agreement shall be construed to constitute ABC Corp., as the partner, employee or agent

となるはずです。

契約書の文中からの引用であれば、Represantativeは固有名詞ですので、後に続くagentとは法律的解釈が違います。

契約書で
This agreement is made and entered into as of （日付） by and between
ABC Corp., herein referred to as “Represantative”

とした場合、法律的な理解は
Represantative　=　ABC Corp.
the agent = Sales Agent or Sales Representative

例として添付契約書の文中でのAgentは一般的なエイジェントではなく、Agentとして契約書に署名をした人もしくは、その人の会社のことを示している。その会社はエイジェントになるために同じことではあるが、質問文のように小文字のagentが出てきた場合は違いが明確になるはずです。

3.   Nature of Relationship:  Agent shall be an independent contractor.  Nothing
in this Agreement shall be construed to create any other relationship.  Agent is
hereby advised that, as an independent contractor, it has certain
responsibilities under the federal and state tax laws.

Representativeについては、契約書の他の部分も見ないと、はっきりしたことは申し上げられません。Sales Represantativeであれば、何らかの販売部門の代表責任者とは思いますが。

その、Represantativeの選任について、Represantative（候補者かもしれません）が、

partner：共同事業者あるいは出資者
　　employee：従業員
　　agent：外部関連業者等で事業を代行するような者

という関係者と見做されるかどうか、あるいは実際にそうであるかどうかについて、

「一切の解釈を行わない」

つまり、

「そういう関係者であるか否かに何も制限を設けない」

ということですね。
