英語の契約書の和訳の訂正（１文）

英語の契約書を和訳しています。
「Assignment（譲渡）」という条項がわかりにくいので和訳を助けていただきたいです。
全部で４文ありますが、最も分からないのは、３文目です。

「Assignment（譲渡）」

This Agreement is not assignable or transferable by either Party without the written consent of the other Party.
（本契約は、どちらの当事者も、他方の当事者の書面上の同意なしには、譲渡できないこととする。）

For purpose of this Agreement, a change of control in connection with any merger, reorganization or sale of the assets of the business to which this Agreement pertains, shall be considered a transfer of this Agreement.
（本契約の目的のために、本契約に関する、合併、再編成、あるいは営業資産の売却のいずれにおいてもその支配権の変更（チェンジ・オブ・コントロール）は、本契約の譲渡とみなすこととする。）

As used herein a change of control means the transfer to an entity or control group of fifty percent (50%) or more of the equity or stock of either Party, by ownership, contract or otherwise.
（本契約書における、支配権の変更（チェンジ・オブ・コントロール）とは、所有権、契約、あるいは他の何かによって、一方の当事者の証券あるいは株式の、50%もしくはそれ以上の移行を意味する。）

→最も分かりにくい１文です。「by ownership, contract or otherwise」と、「the transfer to an entity or control group」の意味が特に汲み取れません。

Any attempted assignment in violation of this provision shall be void.
（本規定に違反した、どのような譲渡の試みも無効とする。）


３文目が上手に訳せないうえに、意味もよくわかりません。教えてください、お願いします。

まずは 3 番目の文。

「この契約において（As used herein）支配権の変更とは、所有権の設定、契約その他の方法により（by ownership, contract or otherwise）、いずれかの当事者が有する（of either Party）株式（the equity or stock）の 5 割又はそれ以上が法人又は管理団体に譲渡されること（the transfer to an entity or control group）をいう（means）。」

なお 1、2 番目の文に何回も登場する agreement という語は、この場合は契約というよりも、「合意した事項」を意味すると考えられます。例えば、保有の割合とか、金額といったことです。そのため、条件をクリアしない限り、agreement は assignable ではないという言い方がされています。また、the assets of the business to which this Agreement pertains の訳は、「この合意した保有内容『を』含む営業資産」となります。

4 番目の文はオッケーです。
