下記について、何点か質問します。よろしくお願いします。

2. Appointment. TPS grants to Distributor the exclusive right to　market, distribute and sell the Product in the markets described in Schedule A　attached to this Agreement in the United States and Canada (the "Territory");　provided, however, that TPS reserves the right to sell the Product directly to　any end-user. Distributor accepts this appointment and agrees to act in such　capacity pursuant to the terms and conditions of this Agreement. ご質問は、英語の単語どおりに訳せばすべて解決可能です。

1．TPSは、Distributorに、”exclusive right to　market, distribute and sell the Product”を与えるけれども、TPSも、直接end-userに商品を販売する権利を有しているという解釈で間違いないですか？

provided, however, that～は、「ただし書き」(=proviso)と呼ばれていて契約書では頻繁に用いられます。
訳すときは、ただし、「～とする」とそのまま訳せばOKです。
つまり、「TPSは、～する排他的権利を「販売代理人」に付与する。ただし、TPSは、「商品」をあらゆる最終利用者に直接販売する権利を留保する」になります。


2．"act in capacity"の部分は、どう訳したらよいのでしょうか？「権利の範囲内で」だと間違いですか。


この条項は、本契約の当事者を「販売代理人」に任命するという条項ですので、英語をそのまま訳して、「「販売代理人」は、「販売代理人」への本任命を受諾し、本契約の条件に準拠して「販売代理人」の資格で行動する」になります。

3．"For the purpose(原文ではpurposes) of this Agreement"の訳は、「本契約において」でよいですか？

purposesは、「目的」という意味なのですから、そのまま直訳して、「本契約の目的上、本契約の趣旨上、又は本契約の解釈上」とすればよいことになります。

上記のご質問はすべて、契約書では頻繁に用いられる表現であり、さらに、どのような契約書もほとんどの部分において同じ構文が用いられますので、契約書における決まった訳し方をそのまま暗記されることをお勧めします。

こんにちわ。

１．貴殿の解釈で間違いないです。

２．act in capacity　という表現は, 例えば、 The Vice President shall act in capacity of President in the absence of President のような使い方がされますが、「・・・という権利を有する立場でactする」といった感じです。この文では ... act in such capacity pursuant to ...　と such　が入っていますから、この such　は前述した内容（＝規定された地域（米国及びカナダ）での商品の独占的販売権の行使、並びにエンドユーザーについてはTPSも直接販売する権利を留保すること）に言及しています。よって、そのような（such）立場・権利（capacity)のもとにactすることにagreeする、ということです（本草案の作成者のこの一文に入れ込んでいる意図は「直接販売権留保はお忘れなく」でしょう。それだけに言及するも変なので、それ以外（Ditributorの独占権）もふまえ、契約書らしい（？）表現方法(act in (such) capacity)と書いてきたのでしょう。また、もちろん、契約書のその他の条項（権利・義務）ももちろんあるのでpursuant to...となっています（当然ながら、suchが言及する以外の条項にも基いてactしなくてはならないので）。

このDitributor accepts .... this Agreement.　の一文はなくてもいいですが、「独占権を与えておきながらTPSも直接販売権利あり」としていることろゆえ、問題になりやすい点なので、念を入れて、同じ内容（provided, however, that .... end-user.)を言い方を変えて書いているわけで、実践上、よくある書き方（重要点を言い方を変えて繰り返す）ですね。

＞Distributorは多分、この契約が指すところの商品を個人はもとより、スーパーや量販店、小売店にも卸したりするのでしょう。その際、「オンライン？オーダーが個人の末端消費者からあれば、それが例えDistributorのテリトリー内であっても、TPSは販売することができる」という話だと考えます。つまり、「個人の末端消費者への販売に限っては、テリトリーは関係ないよ」ということでしょうね。distributorのスペルに注意して下さいね。

＞権利というか、「本契約条項の範囲内で」と訳すと良く分かりますよね。つまりこの条項は「テリトリー分担」に関わるものですから、「Distributorは、この取り決め（appointment）を受け入れ、付与されたテリトリー、その他契約条項の範囲内において営業活動することに同意する」となっています。要するに「テリトリー越境はしないこと」という話ではないかと思います。

＞見方によっては、DistributorがTPSのCustomerと言えますよね。これとend-userとを混同しないよう、「この契約書上の"Customer"とは便宜上、（any person以下を指す）」とわざわざ「定義」しています。従って、ご指摘の通り、「本契約において」ということです。

1．はTPS reserves the right to sell the Product directly to　any end-user. とありますから直接消費者にも売れる権利を持っているという解釈で間違いありません。

2.はDistributor accepts this appointment and agrees to act in such　capacity pursuant to the terms and conditions of this Agreement. とありますからこの契約の諸条件に従って、、、となりますが、Capacityの訳がちょっと難しそうです。代理店になった暁には
その能力を精一杯発揮して活動する、、と私は解釈しました。
3.はCustomerの意味を説明していますので、この契約においてで
良いと思いました。
2.はあまり自信がありませんが。。。
